Description of HotGrindsŪ Service
These Terms of Use cover your use of the HotGrindsŪ platform for creating and participating in HotGrindsŪ debates and otherwise creating, adding or uploading content to sites hosted on the HotGrindsŪ platform. HotGrinds, Inc. hosts HotGrindsŪ and other HotGrindsŪ services. HotGrindsŪ provides free, advertising supported hosting for online debates and controversial stories. HotGrinds is freely accessible for entertainment or informational purposes to anyone with a connection to the World Wide Web. By registering with HotGrinds, inc. ("HotGrindsŪ"), creating, or participating in debates running on this platform, you are agreeing to these Terms of Use("terms of use" or Terms").
These Terms of Use commence upon your acceptance of these Terms and continue until terminated by HotGrinds, Inc. or the user (in the latter case by closing your account). These Terms of Use will automatically terminate if HotGrinds, Inc. decides, in its sole discretion, to discontinue the HotGrindsŪ Platform or related services.
Content on HotGrindsŪ
HotGrinds, Inc. is a hosting provider, and takes no responsibility for the content uploaded by third parties. Any content in a HotGrindsŪ debate is the responsibility of the person who created it. HotGrinds, Inc. does not control or approve the content before it is published. HotGrinds, Inc. nevertheless reserves the right to remove any content for any reason, including but not limited to a violation of these terms of use. No content shall be added to any debate or other area hosted by HotGrinds, Inc. that is tortious, threatening, harmful, unlawful, libelous, defamatory, harassing, fraudulent, contains viruses, or is otherwise objectionable or potentially damaging, as reasonably determined by HotGrinds, Inc. However, please be aware that HotGrindsŪ debates and other content on the HotGrindsŪ sites may still contain content of an adult nature, or content that you may find offensive. Any content you upload must not violate another person's intellectual property or infringe on any copyright, patent, trademark, trade secret, or other proprietary rights. No content shall be added which violates any applicable law, including local, state, national, and international laws. HotGrinds, Inc. will act to remove copyright violations in a timely manner following the receipt of a DMCA takedown request.
HotGrinds, Inc. maintains and enforces a policy of terminating the accounts of users who repeatedly infringe copyright.
You agree not to post, upload or otherwise provide any content that constitutes or contains any form of advertising or solicitation about services, products or commercial interests without prior consent of HotGrinds, Inc.
You agree not to post, upload or otherwise provide any content that advertises any illegal services or the sale of any items the sale of which is prohibited or restricted by applicable law, including without limitation items the sale of which is prohibited or regulated by applicable law.
HotGrinds, Inc. content is provided "as is". In addition HotGrinds, Inc. has no responsibility for lack of availability of any particular content. You should be aware that portions of the content are provided by users of the HotGrinds platform, and, as such, may contain inappropriate content at any time.
Content from other users or advertisers is made available to you through HotGrindsŪ platform. Because HotGrinds, Inc. does not control the content, you agree that HotGrinds, Inc. is not responsible for any such content, including but not limited to advertising and information about third party products or services.

Use of sites hosted by HotGrinds, Inc. is at your own risk. HotGrinds, Inc. expressly disclaims all representations, warranties, or conditions of any kind, whether express or implied, including, but not limited to, the implied warranties or conditions of merchantability, fitness for a particular purpose, accuracy, system integration, quiet enjoyment, title, and non-infringement. HotGrinds, Inc. does not make any warranty that the HotGrinds platform, or content therein will meet your requirements or be uninterrupted, timely, secure or error-free.
Users of this service shall not act in a way on HotGrindsŪ sites which would be harmful to minors. Users of this service shall not impersonate any other person or entity. Users shall not harass or "stalk" other users or collect or publish personal information about them.
You agree not to act in any way on HotGrindsŪ sites that serves to impersonate a HotGrindsŪ employee or user, or to falsely state or otherwise misrepresent your affiliation with a person or entity.
You agree that HotGrinds, Inc. is not responsible for any loss or damage incurred as the result of any other user's use or disclosure of your personal data. Should a dispute arise between you and any third party (including any other HotGrinds, Inc. user), HotGrinds, Inc. is under no obligation to become involved.
HotGrinds, Inc. has the right at its sole discretion to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the HotGrindsŪ platform and services, or remove and discard any content within HotGrindsŪ Debates and other areas of its sites, without notice and for any reason; HotGrindsŪ editorialists may limit or terminate your ability to add new content, Debates or arguments, for any reason and at any time.
You agree not to use HotGrinds, Inc. sites in a way that disrupts the regular flow of dialogue with an excessive number of messages (by flooding for example), or that otherwise negatively affects HotGrindsŪ users' ability to interact on the HotGrindsŪ platform. You agree in addition not to repeatedly post the same or similar content or otherwise impose an unreasonable or disproportionately large load on HotGrindsŪ infrastructure.
You are not permitted to engage in commercial activities on HotGrindsŪ sites, which have not been authorized by HotGrinds, Inc. You may not sell or otherwise commercially exploit the use of this service, or access to the service, without prior consent of HotGrinds, Inc.
You release HotGrinds, Inc. and HotGrinds Canada Inc., its officers, employees, agents and successors from claims, demands and damages of every kind or nature arising out of or related to: (i) any disputes with other users, and/or (ii) the HotGrindsŪ platform.
You agree to not develop, invoke, or use code to disrupt, diminish the quality of, interfere with the performance of, or impair the functionality of the HotGrindsŪ platform.
You agree not to use automated means, including spiders, robots, crawlers, data mining tools, or similar tools and/or technology to download data from the HotGrindsŪ platform, with the exception of Internet search engines, non-commercial public archives that comply with our robots.txt file, or "well-behaved" web services/RSS/Atom clients. HotGrinds, Inc. reserves the right to define what HotGrinds, Inc. means by "well-behaved".
You further agree not to attempt to gain unauthorized access to HotGrinds, Inc.'s computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the HotGrindsŪ platform.
HotGrindsŪ Platform
HotGrinds, Inc. may establish general polices and limits concerning use of the HotGrindsŪ platform including but not limited to the maximum number of days that Debates and uploaded content will be retained, the maximum number of and size of content files and objects (including email messages), the maximum number of times and duration for which you may access the HotGrindsŪ platform in a given period of time. HotGrinds, Inc. reserves the right to log off or deactivate user accounts that are inactive for an extended period of time.
HotGrinds, Inc. reserves the right at any time (and from time to time) to modify, suspend, or discontinue providing the Hotgrinds platform or any part thereof with or without notice. HotGrinds, Inc. will not be liable to you or to any third party for any modification, suspension or discontinuance of the HotGrindsŪ platform.
General Terms
The failure of HotGrinds, Inc. to exercise or enforce any right or provision of these Terms of Use does not constitute a waiver of such right or provision. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should try to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Use remain in full force and effect. Your HotGrinds account is non-transferable. You may not delegate your duties under these Terms or assign these Terms, in whole or in part.
HotGrinds Inc. may assign these Terms of Use to any successor or purchaser of HotGrinds, Inc., HotGrinds Canada inc. or all or substantially all of its assets.
The HotGrinds Terms of Use may be updated or changed from time to time upon HotGrinds' posting of the amended Terms on this page. If you do not agree to changes to the Terms, you must notify HotGrinds, Inc. to terminate your account.
You agree to indemnify, defend, and hold harmless HotGrinds Inc., HotGrinds Canada Inc., and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, from and against any claim, demand, loss, damage, cost, or liability (including reasonable attorneys' fees) arising out of or relating to any content you submit, post, transmit, or make available through the HotGrindsŪ platform; your use or misuse of the HotGrindsŪ platform; your connection to the HotGrindsŪ platform; your violation of these Terms of Use; or your violation of any rights (including intellectual property rights) of a third party. You agree that HotGrinds, Inc. shall not be liable to you for (a) any indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if HotGrinds Inc., has been advised of the possibility of such damages), resulting from (i) the use or the inability to use the HotGrindsŪ platform or any code or content, (ii) unauthorized access to or alteration of your transmission of data; and (iii) statements or conduct of any third party (including another user) on the HotGrindsŪ platform or any code or content; or (b) for any damages arising from or related to these Terms of Use.
